ASSOLaw STATUTE

1.- Name

ASSOLaw - Legal Firm and Professional worldwide Association


2- Association's goals

2.1 The Association has the following goals:

Professionals join the Association for:

  • Exchanging information, grabbing business opportunities, developing partnerships with Professionals both in Italy and abroad.

  • Promoting and exchanging information between Members about professional project to carry out together.

  • Providing firms, leader organizations representing private and public companies, private individuals and public authorities with professional information about their own country and business opportunity

  • Receiving from firms, leader organizations representing private and public companies, private individuals and public authorities business opportunities and information.

  • Improving their professional knowledge and law, technical and administrative comprehension in their own country.

  • Taking part in the exchanging programs such as internships in ASSOLaw member professional offices.

  • Keeping their own staff up to date.

  • Improving relationships between professionals working worldwide.

  • Arranging professional meetings, conferences and workshops so as to share knowledge between Members.


3. Organization

3.1 Professionals with at least 10 years experience, believing in Association's goals and willing to carry out ASSOLaw projects ( after Statute and Rules of Procedures acceptance), can join ASSOLaw organization.

3.2 The Executive Board will examine Member Application Forms.

3.3 Members terminate their activity with the Association by:

(a) Resigns, sent 3 months before the end of the year.

(b) Expulsion for activities against Association's goals or non-compliance of Association Statute. Decisions will be taken by the General Assembly with motion proposed by the Executive Board.

 

4. Association property

4.1 Association property consists of voluntary contributions, gifts and any other type o donation decided by the Assembly of the Members.

4.2 The Association property can be used only for carrying out Statute's projects. Members in charge of the Association will not be given any repayment.

4.3 Member's contributions will be decided case by case by the Assembly that will fix the terms of payment.

4.4 Contributions will not be refunded in case of termination of the activities in the Association.


5. Association Bodies

Association internal organization:

  • Chairman

  • Deputy Chairman

  • Executive Board

  • General Assembly


Members joining this organs are volunteers.

Chairman

The Association is represented by the Chairman.

The Chairman is in charge for 3 years and can be re-elected.

The Chairman has to be a member of the Executive Board.

Deputy Chairman

There are two Deputy Chairmen that represent the Association, delegated by the Chairman. They remain in office for 3 years, elected by the Executive Board.

Executive Board

The Executive Board is the executive organ of the Association.

The number of the Members is 10.

The term of office is 3 years long and can be renewable .

The Board will have the following functions:

  • convening meetings

  • establishing programs of activities

  • fixing the annual budget

  • reaching decisions about Member application forms, expulsions or resigns.

  • electing Chairman and Deputy Chairmen.


General Assembly

The Assembly is an organ defined by Association Statute and it is made up of all members.

General Assembly duties are:

  1. defining and changing the Statute;

  2. assigning tasks to the Association's Bodies and to the Association itself;

  3. discussing objectives and tasks of the Association;

  4. appointing Executive Board Members;

  5. being in charge of the economic resources allocation;

  6. appointing Honorary Members;


The assembly is convened by the Executive Board or by one fifth of the Association Members; the request can be sent to the Executive Board by e-mail.

The Executive Board has to convened the Assembly within 2 months.

Decisions reached by The General Assembly are effective only if 51% of the Assembly is present ( vote by proxy is accepted) during votes. Decisions are effective when the majority cast a positive vote.

6.Association Dissolution

6.1 Association Dissolution is decided by the General Assembly by unanimous approval.

6.2 Dissolution decision rules on the asset winding-up.

7. Head Office

7.1 The Head Office of the Association will be in Modena (Italy) via Farini n39.

7.2.The Executive Board allows the establishment of branches of the Association worldwide.
